Please read these Terms and Conditions carefully before using our website. By accessing or using this website, you agree to be bound by these terms. If you disagree with any part of these terms, please do not use our website.

1. Terms and condition

These terms and conditions ("Terms", “Terms of Use”, and “Agreement") is an agreement between WYRENOW Enterprise ("us", "we" or "our" or “WYRENOW”) and you ("User", "you" or "your"). These terms sets forth the general terms and conditions of your use of www.WYRENOW.com (“website”) and any of its products or services (collectively, "Website" or "Services"). Collectively shall be referred to as parties.

2. General terms

2.1 A user shall not circumvent other user's prospects or registered team members. Existing users who are already registered to another Users shall not be re-registered by another user. Violation of this policy will lead to automatic suspension of the account of the offender and the new accounts returned to their bonafide positions. We reserve the right to take other actions we deem fit to ensure status quo is maintained.

2.2 Users of WYRENOW shall not demarket WYRENOW or openly market or advertise same services offered by WYRENOW for other companies. Any defaulting account shall be temporarily or permanently de-activated. WYRENOW reserves the right to take any other action it deems necessary.

2.3 Users should understand that the management and Staff are committed to providing services and making decisions that are in the best interest of the community in general. 2.4 Users shall not threaten or blackmail any staff or Management Personnel of WYRENOW. Violation of this will lead to suspension, blockage or termination of the account(s) of such user and the initiation of any legal process or actions the company deems appropriate and that are provided within the Laws of the Federal Republic of Nigeria, Ghana or the country of business operation.

2.5 Uploading of fake tellers to request for wallets or vouchers for the purposes of registration or repurchase will result in automatic blocking of such accounts involved. Swapping of a teller that had been previously uploaded by another user will also result in automatic blocking of the accounts involved. Uploading of a teller more than once can lead to varied degrees of penalties that the company deems appropriate ranging from cancelation to suspension and eventual blockage of such accounts. How WYRENOW handles government requests for user information Government agencies from around the world may request WYRENOW to disclose information. We carefully review each request to make sure it satisfies applicable laws. If a request asks for too much information, we try to narrow it, and in some cases we object to producing any information at all. When we receive a request from a government agency, we send an email to the user’s account before disclosing information. If the account is managed by an organization, we’ll give notice to the account administrator. We won’t give notice when legally prohibited under the terms of the request. We’ll provide notice after a legal prohibition is lifted, such as when a statutory or court-ordered gag period has expired. We might not give notice if the account has been disabled or hijacked. And we might not give notice in the case of emergencies, such as threats to a child’s safety or threats to someone’s life, in which case we’ll provide notice if we learn that the emergency has passed

3. Home Cell Group Leaders

Home Cell Group leaders of WYRENOW are not allowed to promote another company offering similar service as WYRENOW. Any leader who is found guilty of this will have their accounts blocked and all benefits forfeited. WYRENOW reserves the right to claim damages against the leader for demarketting the brand.

4. Bonus Structure /Marketing Plan

Wyrenow does not have a bonus structure and an MLM business calculations plans.

Wyrenow helps users to do business with the other MLM companies. Wyrenow may try to educate users on the marketing plans of third party companies but is not liable for errors in bonuses earned, or mistakes, miss-interpretation, errors of marketing plans of third party companies.

Upon opting-in into one of the marketing plans of third party companies, with the right to sell WYRENOW products and recommend others to sell WYRENOW products, the combined sales volume (measured in Case Credits or Business Bonus) generated by the user and his/her subsequent downline organization qualifies the user to receive Sales Level promotions, and increased discounts and bonuses as outlined in their various marketing plans The Company reserves the right to amend, alter the marketing plan.

5. Service center allocation

PROVIDED ALWAYS AND IT IS AGREED AS FOLLOWS: a) The service center is hereby restrained from supplying the Company’s services to only members of his network team but to all affiliates. b) The parties agree that payments made for service center charges and the supply of products are non- refundable. In the event of termination, the service center loses all rights enjoyed by a service center while the Company supplies only backlog of products or services to the service center. c) The parties agree that the service center is not a staff of the Company and therefore, is not entitled to employee benefits. d) The service center shall be responsible to clear and unload the company's products and render the products to the affiliates. e) Dispatching of services shall be made by the service center based on the requirement of affiliates presented as an electronic or as a written order or as confirmed by the Company’s authorized person f) The service center shall also clear and store at their warehouse any products (s) in a damaged condition which may be received from the affiliate. The Company shall issue a disposal instruction in writing, in respect thereof. The service center is required to maintain proper record of the receipt of such products along with their disposals per the Company’s instruction. g) The service center is prohibited from taking service center Allocation(s) in third party multi-level marketing Company behind the company. h) The service center shall not admit any claim or make any commitment on behalf of the Company unless such claims have been previously validated by the Company and duly communicated to the service center by the Company. i) The service center shall take care of their products to avoid theft, pilferage, damage, etc. The service center shall be responsible for all losses due to such. The service center shall have no right on the Company’s products in respect of bill of charges of any nature that may remain outstanding for payment or settlement. The service center shall be responsible for any shortages, losses, or damages to the products at their disposal for any reason whatsoever. j) The service center shall be responsible for any expenses if any, related to business/sales promotion outside company organized business/sales promotion. k) Commissions/sales incentives to the service center will be paid after deducting the applicable taxes if any as per the tax law. 6. Records/periodic audits a) The service center shall maintain proper records of the products supplied and given out and any possible backlogs. The Company has the full right at any given time to verify the records through its representatives and/or the service center software. b) The service center shall not destroy the stock list, book of account, vouchers, statements, returns, and other documents or record, electronic or physical, related to the receipt of products, dispatches of products, inventory list, amount collected and expenses incurred and other business-related documents. c) The service center shall permit the Company’s authorized representatives and the auditors so appointed to inspect the said products, storage facility, records, contract, and other related documents relating to the receipts and dispatches of the said products and shall also be responsible to answer and satisfy all such queries as may be raised by the Company’s auditors in the event of service facility damage and/or reconciliation of discrepancies.

7. Return Policy

a) Once products are received in good condition, the Company shall not accept a return. b) Approval in writing must be taken from the head office of the Company before the stock is returned. The services returned to the Company will not be accepted for replacement unless and until the same is checked and investigated. c) The service center is required to send full details of the stock (i.e batch number, date of manufacturing and relevant invoice number under which it was supplied) to the Company before returning the stock. d) The service center will take delivery of service from the transporter after checking and verifying the quantity. In the event of damage, shortage, spoilage etc. the service center would procure goods shortage/damage certificate from the transporter. Failure to adhere to this condition, the liability shall be that of the service center. e) Transportation charges for returns for the stock shall be borne by the service center. The Company has the sole discretion for the acceptability of the stock returns.

8. Assignment

There shall be no assignment of obligations, transfer of rights duties under this terms.

9. Registration Obligation

You shall:- I. Provide true, accurate, current and complete information about yourself as prompted by the Registration form. II. Maintain and promptly update the registration data to keep it true, accurate, current & complete.

All members must use a confidential password, which you will need, together with the Security PIN number that WYRENOW will assign to you in order to log on to the password protected areas of this Website. You shall maintain the confidentiality of any identification number, PIN or password provided. You shall immediately notify WYRENOW of any unauthorized use of these Identifiers, or any other breach of security. You are fully responsible for all activities that occur under these Identifiers. WYRENOW is not responsible for any misuse of your account by someone who uses your Identifiers.

The information on this site is not intended or implied to be a substitute for professional advice, diagnosis or recommendation. All content, including text, graphics, images and information, contained on or available through this web site is for general information purposes only. WYRENOW has the discretion to update this privacy policy at any time. When we do, we will revise the updated date at the bottom of this page. We encourage Users to frequently check this page for any changes to stay informed about how we are helping to protect the personal information we collect. You acknowledge and agree that it is your responsibility to review this privacy policy periodically and become aware of modifications We reserve the right to change, modify or otherwise update this policy at any time. Unless otherwise noted, any changes to this Privacy Policy will be effective immediately. Your continued use of the Services following any changes to this Privacy Policy indicates your consent to the practices described in revised Privacy Policy. If any changes are material, we may provide you notice of such changes by posting notice on the website or by other means.

12. Third party

Generally, a person who is not a Party to this Agreement may not have benefit of this terms.

13. No liability to third parties

You hold us harmless and shall indemnify on full indemnity basis against any losses, liabilities, costs and expenses incurred by in connection with this Agreement either as a result of the assertion of any claim, by any person or entity, or which are attributable to the Company and /or negligence, fraud or misconduct, breach of a provision of this Agreement or any warranty, third party intellectual property rights, including any breach occasioned by the Company’s agents, representatives, contractors or personnel’s defaults.

14. Force majeure

Force Majeure means, in relation to either Party, any circumstances beyond the reasonable control of that Party (including, without limitation, any strike, lock-out or other form of industrial action). The Company shall not be deemed to be in breach of this Terms, by reason of any delay in performance, or the non-performance, of any of its obligations under, to the extent that the delay or non-performance is due to any Force Majeure.

15. Suspension of riWYRENOW TERMS OF USE

In the event of a breach by the user of the terms of use, the Company shall suspend all rights. If the user fails to remedy the breach within the aforesaid notice period, the Company may take further actions forthwith.

16. Representations and warranties

The user warrants that they have financial capability, technical competence and requisite expertise in the industry to undertake the services. There are no conditions, events, occurrences or other circumstances that might materially adversely affect their ability to carry out their obligations under these Terms;

17. Withdrawal

Users don’t earn directly from wyrenow. Their earnings are based on their activities in third party companies. Withdrawals are not done with wyrenow and earnings are not expected to come from wyrenow.

18. Accounts and membership

You must be at least 18 years of age to use this Website. By using this Website and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of these Terms or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re- register for our Services. We may block your email address and Internet protocol address to prevent further registration.

19. Prohibited Activities

The Management’s decision to terminate a user’s account or to disallow, realign or adjust the Personal Discount, Bonuses, compensation or any incentive awards for any involvement in activities or omissions that are not in conformance with Company Policies or the Code of Professional Conduct shall be final. Intentional acts of omission and disregard for the Company Policies or the Code of Professional Conduct by any user shall be severely dealt with which may include termination and legal action for damages. Prohibited activities causing grounds for termination and liability for any damages caused by such acts include, but are not limited to, the following conduct:

20.1 Fraudulent Sponsoring

A user is interdicted from sponsoring individuals without the due execution of a WYRENOW Application Form and Agreement. The fraudulent sponsoring of an individual or the sponsoring or attempted sponsoring of non-existent individuals as Customers would lead to termination of such offending users account.

20.2 Selling in outlets

A user is prohibited from rebranding any service except that it be in its original packaging. The breach of this would lead to criminal prosecution.

20.3 Bonus Buying

A user is prohibited from ordering more service than required to meet immediate sales needs, and additional products may be purchased only after 70% of that service ’s inventory has been sold, consumed or otherwise utilized. A user is prohibited from purchasing products or encouraging other individuals to purchase products solely for the purpose of qualifying for bonuses in third party companies, and from using any other mechanism by which strategic purchases are made to maximize commissions or bonuses in third party companies, when a user does not have a bonafide use for the products purchased. Bonus buying would lead to forfeiture of account.

20.4 Promotional Material(s)

The Company's prior written approval is required to use, produce or sell any promotional material, other than those provided by the Company. A user is prohibited from promoting or selling any sales aids, training materials, websites or Apps not provided and approved by the Company. The offender shall be prosecuted.

20.5 Sponsoring a user into Another Company.

A user is prohibited from, directly or indirectly, sponsoring or accepting any User, or anyone who has been a user or Customer within the last six (6) months, into, or encouraging any such person in any way to promote opportunities in other programs of any direct sales company offering same service as WYRENOW. A user is prohibited from discouraging other users, services, demarketing WYRENOW to other Users or third-parties. Any questions, suggestions or comments regarding these issues should be directed in writing to WYRENOW’s corporate offices only.

20.6 Maligning the Company

Users are prohibited from maligning the reputation, casting aspirations against the company either online, at the business premises in any form or manner. Any grievances against the company should be directed by email, a formal letter or any of the company’s offices. The User’s account shall be terminated and the offender prosecuted.WYRENOW TERMS OF USE

20.7 Publication of sensitive information

Any user who becomes aware of sensitive information about the company through any channel is prohibited from making such information public. All sensitive information are to be kept private to protect the interest of the Company.

20.8 False misleading information:

Users are prohibited from publishing, sharing, producing, disseminating false misleading information about the company, the products. The user’s account shall be terminated and the offender prosecuted.

21. Proxy Purchasing

A user is prohibited from purchasing products or service in any other than his/her own name.

22. Advertising Price of service

A user is prohibited from any form of advertising of products at any price below the Suggested retail price. This includes a stated price or any other pricing formula that reduces the price paid for any service to below that of SRP. The offender shall be prosecuted.

23. Improper Conduct

WYRENOW shall have the exclusive right to terminate a user’s account, without notice, if he/she engages in conduct that, in WYRENOW reasonable judgment: 1) is contrary to the spirit of WYRENOW; 2) Is unbecoming of a representative or user of WYRENOW; 3) Is or could be harmful to the interests of WYRENOW; or 4) Does or could bring WYRENOW into disrepute. Upon termination under this Section, user is forbidden from making derogatory or disparaging statements concerning WYRENOW to any third party.

20.7 Publication of sensitive information

3) Is or could be harmful to the interests of WYRENOW; or

4) Does or could bring WYRENOW into disrepute.

Upon termination under this Section, user is forbidden from making derogatory or disparaging statements concerning WYRENOW to any third party.

24. Selling services Online

In order to maintain the Company’s brand, a user may be allowed to create a website similar to the existing WYRENOW website.

It is prohibited to fill forms and register new users outside the company’s website. No form shall be generated outside the application form of the Company.

25. Joint accounts

(a) On the confirmation of death of a user, the user’s account will automatically be transferred to the next of kin. This will be the case regardless of what is stated in a Will of the deceased user. If a user does not wish this result, they must contact the Company to express his/her needs and to determine if such needs can be accommodated.

(b) Users account that have the marital status box checked as being single and with only one signature will be treated by the company accordingly.

(c) To transfer a single person’s benefits on death, such user must have a Will or use of a Grantor’s Trust.

26. Transfers Due to Divorce.

(a) During a pending divorce or negotiation of a property settlement, the Company will continue to disburse payments to the user as was done prior to the pending action.

(b) In the event of divorce or a legal separation, a legally enforceable property settlement agreement may decree the User’s account be granted to one spouse or the other. Only one adult individual will be entitled to retain the current downline of the account.

(c) Third party accounts will be decided by the policies of the parties involved

27. Refund and Buy Back Procedure

In the event that a defective product is delivered to a service center, user, etc. the User will be provided a new replacement of the same such service in exchange for a defective service or for one that has been returned to a user by a retail Customer for lack of satisfaction. Defective products here refers to products or service vouchers that are expired, damaged, spilled, are not properly sealed at the time of delivery. It is the duty of the user to inform the Company promptly as failure would lead to a waiver of such right. The “Buy Back Rule” is designed to impose upon the Company the obligation to ensure that the user is buying products wisely. The Company shall make every effort to provide recommended guidelines to the user so that he/she purchases only as much service as is required to meet immediate sales needs. products previously certified as having been sold, consumed or utilized shall not be subject to repurchase under the “Buy Back Rule.”

28. General Advice on Account Protection

28.1 Phishing

Phishing emails are an increasingly common method used to try and gain access to personal details in order to carry out fraud or identity theft. Typically, a phishing email will claim to have been sent by a reputable organization and ask that you respond to the email with your username and/or password or that you enter your sign in details over a 'secure' connection. Whilst phishing emails can seem very professional, there are usually a number of clues to alert you to the fraudulent nature of the emails. When reading an email claiming to be sent from WYRENOW, you should always keep the following questions in mind:

Are you being asked to provide your password? WYRENOW will never ask you to provide your password in response to an email or phone call.

Are you being threatened with losing access to your account? Phishing emails sometimes make it seem like you'll lose access to your account unless you download something or provide your sign in details. WYRENOW will never ask you to do anything like this in order to keep your account open.

28.2 Spoofing

Spoofing occurs when a criminal creates an exact copy of a website in order to make a fraudulent company look legitimate. A spoofed website will usually look exactly the same as the website of a legitimate company, but with a slightly different web address (e.g., '.biz' instead of ‘org’, '.com' or '.co.uk').

28.3 Identity theft

Identity theft occurs when an individual steals personal details from someone else, and uses the information to fraudulently impersonate that individual. Victims of Identity theft often find that their details are used to open bank accounts and obtain credit in their name. Identity theft can only take place where a criminal has been able to gain access to enough personal details to create false documents in another person's name. In order to avoid becoming a victim of identity theft:

Never give out sensitive personal information such as your bank details, date of birth, or a copy of your passport in relation to an email

Look out for spelling and grammar mistakes in emails you receive

Never give out your sign in details in response to an email

If you suspect that you've been a victim of identity theft, you should contact the police as soon as possible.

29. Account security

Online security risks can be minimized simply by ensuring that your password is always kept secure. We recommend you follow the password security advice below:

If there is a dispute between users and any third party, you understand and agree that we are under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release WYRENOW, its officers, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our service.

32. Disclaimer of warranties

The information, materials and services contained on this site are provided to you on a “as is”, and “as available” basis. We do not warrant or guarantee the accuracy or completeness of this information, statements, contents or materials, and expressly disclaim any liability for any errors, omissions and/or inaccuracies in this information, statements, contents and materials. This Website may contain numerous links to other Internet sites including, without limitation, i.e. other affiliation sites and sites that may provide advice or other goods and services which are operated by third party vendors. The provision of the link does not mean that we endorse or accept any responsibility for the content, use, or products and services made available through the associated Websites. By utilizing these links, you acknowledge and agree that we are not responsible for the actions, contents, accuracy, privacy, policies, opinions expressed, services provided, goods sold, or other links provided by these sites. 35. No Unlawful or Prohibited Use

You agree that you would not interfere with or disrupt the service or services or networks connected to the service, or disobey any requirements, procedures, policies or regulations of the networks connected to the service.

You agree that you would not circumvent other user’s prospects. Existing users who are already linked (registered) to another user's “genealogy” are not expected to be re-register by another user into another genealogy. Violating this, will result in immediate blocking of both accounts upon investigation.

Users on achieving the rank of a Director are not expected to openly market or prospects other users to advertise or sell the same service offered by WYRENOW for other MLM companies as such action automatically lead to immediate blocking of the account(s) concerned and upon thorough investigations and if found culpable could eventually lead to permanent removal of such accounts from WYRENOW.

Uploading fake Tellers to request for vouchers for registration into our portal or for purpose of purchases or repurchases of our products automatically result in blocking such an account or accounts involved.

Swapping of a teller or tellers that had previously been uploaded by another user automatically result in both accounts being blocked.

You agree that you would not to blackmail the management of WYRENOW or any of the users of WYRENOW.

Termination of individual or collective account(s)

A user may terminate his/her account by submitting a written request, signed by all named individuals appearing on the account. The effective termination date is the date on which the Company accepts the termination request.

The terminating user forfeits the current sales level and all downline, including those in foreign countries, established at the time.

A terminated user shall, without demand by the Company, be liable to repay, return or compensate the Company for any benefit programs, prizes, inventories, or bonuses received from the Company from and after the date of the activities causing such Termination.

If the termination of the user is as a result of the breach of terms of use, the Company reserves the right to take legal actions against the user.

55. Re-entry

After 6 months, a terminated user may reapply subject to the Company for approval to re-enter into the business. Upon such approval, the user will enter and will not have the previous downline organization restored.

56. Forfeiture

A user would forfeit his account or get his account terminated upon breach of any of the provisions of these terms. In the event that the account is forfeited, such account cannot be restored and the user is prohibited from further registering with the Company. A terminated account may re-register after 6 months.
